These Terms of Use (“Terms”) govern your access to and use of the Founderi website and related services operated by Founderi by Gold Hearts Business Network LLC (“Founderi,” “we,” “us,” or “our”).

Founderi is located in Warrington, Pennsylvania, United States. The website and services are primarily intended for U.S.-based business users.

By accessing the website, submitting information, or using Founderi’s services, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not access or use the website or services.

About Founderi

Founderi is a business connection and introduction service.

Founderi manually reviews submissions from business owners and representatives and may contact participants about possible introductions, follow-up questions, scheduling conversations, or other service-related next steps.

Founderi does not guarantee any connection, introduction, meeting, referral, partnership, transaction, response, opportunity, outcome, or result.

Eligibility and authority

By using the Founderi website or submitting information, you represent that:

• You are at least 18 years old
• You have the legal capacity to agree to these Terms
• You have the authority to act on behalf of the business or organization identified in your submission
• Your use of the website and services does not violate applicable law or any obligation you owe to another person or organization

Founderi discretion, access, and removal

Founderi reserves the right, to the extent permitted by law, to refuse, restrict, suspend, discontinue, or terminate any person’s access to the website or Founderi’s services.

Founderi may:

• Reject or remove a submission
• Remove a business or individual from the connection review pool
• Decline to consider or facilitate an introduction
• Cancel or discontinue a proposed introduction
• Discontinue communications
• Restrict website access
• Block future submissions or communications
• Take other reasonable actions necessary to protect Founderi, its services, or other participants

Founderi may take these actions at any time, with or without prior notice, for any lawful reason, including:

• Suspected fraud, deception, impersonation, or misrepresentation
• False, inaccurate, incomplete, or misleading submissions
• Harassment, threats, discrimination, abusive conduct, or inappropriate communications
• Spam, mass solicitation, or repeated unwanted contact
• Illegal or potentially harmful activity
• Security concerns or attempted unauthorized access
• Violations of these Terms
• Misuse of information received through Founderi
• Potential legal, operational, financial, safety, or reputational risk
• Lack of fit with the service
• Limited operational capacity
• Changes to Founderi’s services, priorities, or areas of focus

Except where required by law, Founderi is not obligated to provide an explanation, restore access, retain a submission, reconsider a removal decision, or continue reviewing a business for possible introductions.

Matching and introduction discretion

Founderi has sole discretion over whether, when, how, and with whom it suggests, discusses, prioritizes, or facilitates business introductions.

Submissions are not necessarily reviewed, prioritized, or matched on a first-come, first-served basis.

Founderi may consider factors including:

• Relevance
• Compatibility
• Location and geography
• Industry
• Business type or stage
• Products or services offered
• Stated goals, needs, preferences, or selection criteria
• Timing
• Available connection opportunities
• Prior communications or interactions
• Business credibility
• Safety considerations
• Operational capacity
• Founderi’s assessment of whether an introduction may be useful

Founderi may prioritize some submissions or potential introductions over others.

Submitting information, consenting to the introduction process, communicating with Founderi, or remaining in the connection review pool does not guarantee:

• That a submission will receive a response
• That a submission will be reviewed within any particular timeframe
• That Founderi will locate a potential match
• That a potential match will agree to an introduction
• That Founderi will facilitate a proposed introduction
• That an introduction will produce any particular result

Founderi may modify its matching criteria, priorities, processes, geographic focus, industry focus, eligibility requirements, and areas of service at any time.

Introductions and third-party businesses

Founderi may suggest, facilitate, or discuss potential introductions between businesses or individuals.

Founderi does not vet, verify, certify, endorse, recommend, guarantee, monitor, or supervise any:

• Business or individual
• Product or service
• Claim or representation
• Credential or qualification
• License or insurance coverage
• Financial condition
• Legal or regulatory compliance
• Opportunity
• Referral
• Partnership
• Agreement
• Transaction

An introduction facilitated by Founderi does not constitute a statement that a participant is trustworthy, qualified, suitable, financially stable, properly licensed, compliant with applicable law, or appropriate for your particular needs.

You are solely responsible for conducting your own investigation and due diligence before deciding whether to communicate, meet, share information with, refer, hire, pay, partner with, contract with, or enter into any other relationship with another business or person.

Founderi is not a party to any agreement, transaction, referral arrangement, partnership, joint venture, employment relationship, agency relationship, or other relationship that may result from an introduction.

Founderi does not have authority to bind any participant and does not act as an agent, broker, fiduciary, representative, employer, partner, or joint venturer of any participant.

Founderi is not responsible for the actions, statements, products, services, omissions, communications, payments, agreements, disputes, performance, or conduct of any third-party business or person.

No exclusivity

Founderi does not provide exclusivity unless expressly agreed in a separate written agreement signed by Founderi.

Founderi may communicate with or facilitate introductions involving multiple businesses that offer similar or competing products or services.

Founderi is not required to:

• Reserve a connection opportunity for a particular participant
• Introduce only one business within an industry or geographic area
• Disclose every existing or potential competing relationship
• Avoid working with a participant’s competitor
• Provide the same opportunities to every participant

Use of introductions and contact information

Contact information or other nonpublic information received through a Founderi introduction may be used only for legitimate communications reasonably related to the contemplated business connection.

Unless separately authorized by the affected person or business, you may not:

• Sell, license, publish, distribute, or publicly disclose the information
• Add the information to unrelated marketing, advertising, or mailing lists
• Use the information for mass solicitation
• Scrape or systematically collect the information
• Transfer the information to unrelated third parties
• Use the information for unlawful, deceptive, fraudulent, or abusive activity

You agree not to repeatedly contact another participant after that participant has asked you to stop.

You are responsible for complying with applicable privacy, marketing, communications, solicitation, and data-protection laws when using information received through an introduction.

No professional advice

Information provided through the Founderi website, forms, emails, meetings, introductions, or conversations is for general informational and business-connection purposes only.

Founderi does not provide legal, tax, accounting, financial, investment, insurance, employment, regulatory, cybersecurity, or other professional advice.

Founderi’s decision to discuss or facilitate an introduction should not be interpreted as professional advice or as a recommendation to enter into a particular transaction or relationship.

You should consult appropriately qualified professionals regarding your specific circumstances.

Your submissions

When you submit information through Founderi, you represent that:

• The information is accurate and complete to the best of your knowledge
• The information is not materially false, deceptive, or misleading
• You have the right and authority to provide the information
• Providing the information does not violate another person’s rights or any contractual, confidentiality, privacy, or legal obligation
• Your business and proposed use of Founderi are lawful
• You will not submit malicious code or use the submission process to interfere with the website or services

Do not submit confidential, proprietary, sensitive, or regulated information that Founderi has not specifically requested.

Do not submit personal information about another person or nonpublic information about another business unless you have appropriate authorization to provide it.

You remain responsible for the content and accuracy of your submissions.

You grant Founderi a nonexclusive, worldwide, royalty-free license to store, reproduce, organize, review, analyze, and use your submissions as reasonably necessary to operate, secure, improve, and provide the website and services described in these Terms and the Privacy Policy.

This license also permits Founderi to share limited business information as described in the Privacy Policy when evaluating a possible introduction.

Communications

Service-related communications

If you submit a form or otherwise engage with Founderi, we may send service-related communications reasonably necessary to respond to your submission or provide the requested service.

These communications may include:

• Submission confirmations
• Follow-up questions
• Scheduling messages
• Requests for updated information
• Discussions about possible introductions
• Requests for permission to share contact information
• Administrative notices
• Security notices
• Changes affecting your submission or participation
• Other communications related to Founderi’s services

Optional marketing and updates

Founderi will send optional marketing, update, survey, or promotional communications only when you have opted in to receive them.

You may unsubscribe from optional marketing communications later.

Marketing emails will include an unsubscribe method where required by law.

Opting out of marketing communications does not automatically remove you from Founderi’s connection review pool or delete your information. Removal and deletion options are described in the Privacy Policy.

Third-party services

Founderi may use third-party services to operate the website and provide its services.

These may include hosting, database, analytics, authentication, email, scheduling, communications, security, software, or embedded-service providers.

Your use of or interaction with third-party services may be subject to their own terms and privacy policies.

Founderi does not control and is not responsible for the availability, content, security, privacy practices, products, services, or conduct of third parties.

Links to or integrations with third-party websites or tools do not constitute endorsements or guarantees.

Acceptable use

You agree not to misuse the Founderi website, forms, communications, introductions, or services.

Prohibited conduct includes:

• Submitting false, fraudulent, incomplete, deceptive, or misleading information
• Impersonating another person, business, or organization
• Using Founderi for unlawful, harmful, abusive, discriminatory, or fraudulent purposes
• Harassing, threatening, intimidating, or abusing Founderi personnel or other participants
• Sending spam, mass solicitations, or repeated unwanted communications
• Continuing to contact someone after being asked to stop
• Misusing, selling, publishing, distributing, or improperly retaining information received through an introduction
• Attempting to gain unauthorized access to any website, account, database, system, or network
• Interfering with the operation, performance, availability, or security of the website or services
• Introducing malware, malicious code, viruses, or other harmful material
• Circumventing technical, security, authentication, access-control, or rate-limiting measures
• Using bots, scripts, automated systems, or other tools to submit forms, scrape content, collect information, or overwhelm the service without Founderi’s written permission
• Reverse engineering or attempting to discover nonpublic source code, systems, or security mechanisms, except where such restrictions are prohibited by law
• Using Founderi’s name, brand, website, communications, or introductions to imply an endorsement, partnership, certification, or affiliation that Founderi has not expressly approved
• Violating the rights of Founderi or another person or business

Intellectual property

The Founderi website and its original content, branding, designs, logos, graphics, text, selection and arrangement of content, software, workflows, and other materials are owned by or licensed to Gold Hearts Business Network LLC and are protected by applicable intellectual-property laws.

These Terms do not transfer ownership of Founderi’s intellectual property to you.

You may access and use the website only for its intended business purposes.

You may not reproduce, distribute, modify, publish, sell, license, create derivative works from, or commercially exploit Founderi’s protected materials without prior written permission, except where permitted by applicable law.

Service availability and changes

Founderi may modify, pause, restrict, replace, or discontinue any portion of the website or services at any time.

Founderi does not guarantee that:

• The website or services will always be available
• Operation will be uninterrupted or error-free
• Every technical issue will be corrected
• Information will always be retained or recoverable
• Every feature will remain available
• The website will be compatible with every browser, device, or system

Founderi may perform maintenance, correct errors, change features, revise submission requirements, limit access, or suspend operations without liability.

Changes to these Terms

Founderi may update these Terms from time to time.

When we do, we will update the effective date above.

Updated Terms will apply after they are posted unless otherwise stated. Your continued use of the website or services after updated Terms become effective constitutes acceptance of those updated Terms.

Where required by law, Founderi may provide additional notice or request renewed agreement to material changes.

Disclaimer and limitation of liability

The Founderi website and services are provided on an “as is” and “as available” basis.

To the fullest extent permitted by law, Founderi disclaims all express and implied warranties, including warranties of merchantability, fitness for a particular purpose, title, noninfringement, accuracy, availability, security, and results.

Founderi does not warrant that:

• Any submission will result in an introduction
• Any participant will be suitable, reliable, qualified, licensed, compliant, or trustworthy
• Any introduction will result in a successful business relationship
• Information provided by Founderi or another participant will be accurate or complete
• The website will be uninterrupted, secure, or free of harmful components

To the fullest extent permitted by law, Founderi, Gold Hearts Business Network LLC, and their owners, officers, employees, contractors, and representatives will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, business opportunities, anticipated savings, or business relationships arising from or related to:

• Your access to or use of the website or services
• Your inability to access or use the website or services
• A submission, proposed introduction, completed introduction, or declined introduction
• The conduct, statements, products, services, omissions, or performance of another participant
• An agreement, payment, transaction, referral, partnership, or dispute involving another business or person
• Unauthorized access to, alteration of, or loss of information
• Reliance on information obtained through Founderi

These limitations apply regardless of the legal theory asserted and even if Founderi has been advised of the possibility of the damages.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

Governing law and general terms

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles.

Any dispute arising from or relating to these Terms, the website, or Founderi’s services that is not otherwise resolved will be brought in the state courts located in Bucks County, Pennsylvania, or the federal courts serving that county, except where applicable law requires otherwise.

If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions will remain in effect.

Founderi’s failure to enforce any provision of these Terms is not a waiver of its right to enforce that provision or any other provision later.

Section headings are provided for convenience and do not affect interpretation.

These Terms, together with the Privacy Policy and any additional written terms expressly agreed between you and Founderi, constitute the agreement concerning your use of the website and services.

Provisions that by their nature should continue after termination—including provisions concerning intellectual property, third-party relationships, disclaimers, limitations of liability, governing law, and disputes—will survive termination.
